Terms and Conditions of Use

1. Introduction and Acceptance of Terms
Welcome to Silver Shield Alliance. These Terms and Conditions (the “Terms”) govern your access to and use of the website located at [www.silvershieldalliance.com] (the “Website”), our workshops and educational programs, and any other services, content, or features made available by Silver Shield Alliance (collectively, the “Services”).
By accessing the Website, registering for a workshop, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Services.
Silver Shield Alliance is a for-profit limited liability company organized under the laws of the State of New Jersey, with its principal place of business in Somerset County, New Jersey (“Silver Shield,” “we,” “us,” or “our”).
2. Eligibility
You must be at least eighteen (18) years of age to create an account, purchase Services, or enter into these Terms. By using the Services, you represent and guarantee that:
You are at least 18 years old and have the legal capacity to enter a binding contract;
All information you provide is accurate, current, and complete;
Your use of the Services will comply with these Terms and all applicable laws and regulations; and
If you are accessing or using the Services on behalf of an organization, you have the authority to bind that organization to these Terms.
If you are a family member, caregiver, or legal representative purchasing or managing Services on behalf of an older adult, you represent that you have the authority to do so and that the older adult consents to the use of the Services.
3. Description of Services
Silver Shield Alliance provides:
Educational Workshops: Live and virtual workshops focused on elder abuse awareness, scam and fraud prevention, digital safety, and AI/technology training, delivered by Silver Shield’s internally certified instructors.
B2B Partnership Programs: Customized workshop packages, training, and program partnerships for senior living communities, care organizations, healthcare providers, and similar partner organizations.
Coaching and Certification Programs: Premium coaching and train-the-trainer certification programs offered from time to time.
Content and Resources: Articles, videos, guides, and other educational content made available through the Website.
We reserve the right to modify, suspend, or discontinue any portion of the Services at any time, with or without notice, except as otherwise required by applicable law or by a written agreement with you.
4. Accounts and Registration
4.1 Account Creation
Certain Services require you to create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.
4.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account. We are not liable for any loss or damage arising from your failure to safeguard your credentials.
4.3 Accounts for or by Older Adults
Older adults may register and use the Services on their own behalf. Where a family member, caregiver, or representative manages an account on behalf of an older adult, that representative is responsible for ensuring lawful authority, the user’s informed consent where applicable, and compliance with these Terms.
5. Workshops and Educational Programs
5.1 Registration and Capacity
Workshops are subject to availability and capacity limits. Workshops are capped at ten (10) participants per certified facilitator to ensure quality of instruction. Registration is confirmed only upon receipt of full payment, unless otherwise agreed in writing.
5.2 Facilitators
Workshops are delivered by Silver Shield’s internally certified instructors who complete annual continuing education requirements. We reserve the right to substitute facilitators at any time.
5.3 Cancellations and Rescheduling
Cancellation, rescheduling, and refund policies for individual workshops and B2B packages are set forth in the applicable booking confirmation, partner agreement, or invoice. Where no such terms are stated, our default policy applies as follows:
Cancellations made fourteen (14) or more days before the scheduled workshop: full refund less a reasonable administrative fee.
Cancellations made between seven (7) and thirteen (13) days before the workshop: 50% refund.
No-shows are non-refundable.
Silver Shield reserves the right to reschedule or cancel a workshop. In the event Silver Shield cancels a workshop, registrants will be offered a rescheduled date or, at the registrant’s option, a full refund.
5.5 Recording and Materials
Workshops, materials, slides, handouts, and proprietary methodologies are the intellectual property of Silver Shield Alliance. Participants may not record, reproduce, redistribute, or commercially exploit any portion of a workshop without our prior written consent.
6. Partner and B2B Programs
Workshop packages, partnership engagements, and other B2B Services are subject to a separate written agreement, statement of work, or signed proposal between Silver Shield and the partner organization. In the event of a conflict between these Terms and a signed B2B agreement, the signed agreement controls with respect to the parties to that agreement.
Pricing tiers, package contents, deliverables, and payment terms are set forth in the applicable proposal or invoice. All B2B engagements are subject to the limitations of liability, intellectual property, and confidentiality provisions of these Terms unless explicitly modified by written agreement.
7. Fees, Taxes, and Payment
Prices for workshops, coaching, certifications, and other Services are set forth on the Website, in your booking confirmation, or in a written agreement. All fees are stated in U.S. Dollars unless otherwise specified and are exclusive of applicable taxes, which are your responsibility.
We use third-party payment processors. By providing payment information, you authorize Silver Shield and our processors to charge your payment method for the amounts owed. Disputed charges should be raised with us before initiating a chargeback, so we have an opportunity to resolve the issue.
8. Intellectual Property
8.1 Our Content
All content made available through the Services—including text, graphics, logos, the Silver Shield Alliance and marks, software, AI models, workshop curriculum, methodologies, training materials, and the look and feel of the Website—is owned by Silver Shield Alliance or its licensors and is protected by copyright, trademark, and other intellectual property laws.
8.2 Limited Licenseeneral Rights
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal, non-commercial use, or, where applicable, the internal business purposes set forth in a B2B agreement. All rights not expressly granted are reserved.
8.3 Restrictions
You may not, and may not permit any third party to:
Copy, modify, distribute, sell, lease, or create derivative works of any portion of the Services;
Reverse engineer, decompile, or disassemble any part of the Services, except to the extent permitted by applicable law;
Use any robot, scraper, or automated means to access the Services;
Remove or alter any proprietary notices; or
Use the Services to develop a competing product or service.
8.4 User Submissions
If you submit feedback, suggestions, testimonials, or other content to Silver Shield (“Submissions”), you grant us a perpetual, worldwide, royalty-free, transferable license to use, reproduce, modify, and distribute the Submissions for any lawful purpose, including improving the Services. You represent that you have all necessary rights to make the Submission.
9. User Conduct
You agree not to use the Services to:
Violate any applicable law, regulation, or third-party right;
Impersonate any person or misrepresent your affiliation with any person or organization;
Harass, exploit, or defraud any person, particularly any older adult or vulnerable individual;
Upload or transmit viruses, malware, or other harmful code;
Interfere with the proper operation of the Services or attempt to gain unauthorized access to any portion of the Services; or
Collect personal information about other users without their consent.
We reserve the right, but assume no obligation, to monitor use of the Services and to suspend or terminate access for any conduct we determine, in our sole discretion, to be in violation of these Terms or harmful to Silver Shield Alliance, our users, or third parties.
10. Third-Party Services and Links
The Services may contain links to or integrations with third-party websites, services, or content (including payment processors, communication tools, and AI infrastructure providers). We do not control and are not responsible for any third-party content or services. Your use of third-party services is governed by the third party’s own terms and policies.
11. Privacy
Your privacy is important to us. Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the practices described in the Privacy Policy.
9. User Conduct
You agree not to use the Services to:
Violate any applicable law, regulation, or third-party right;
Impersonate any person or misrepresent your affiliation with any person or organization;
Harass, exploit, or defraud any person, particularly any older adult or vulnerable individual;
Upload or transmit viruses, malware, or other harmful code;
Interfere with the proper operation of the Services or attempt to gain unauthorized access to any portion of the Services; or
Collect personal information about other users without their consent.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL SILVER SHIELD ALLIANCE, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING DAMAGES FOR LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO SILVER SHIELD FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so portions of these limitations may not apply to you. In such cases, our liability will be limited to the maximum extent permitted by applicable law.
14. Indemnification
You agree to defend, indemnify, and hold harmless Silver Shield Alliance, its affiliates, and their respective officers, directors, employees, contractors, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any law or third-party right; or (d) any content or information you submit to the Services.
15. Suspension and Termination
We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including if we believe you have violated these Terms. You may stop using the Services and close your account at any time. Upon termination, your right to use the Services ends immediately. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution) will survive.
16. Governing Law and Venue
These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws principles. Subject to Section 18, the state and federal courts located in Somerset County, New Jersey will have exclusive jurisdiction and venue, and you consent to personal jurisdiction in those courts.
17. Dispute Resolution
17.1 Informal Resolution
Before filing any claim, you agree to first try to resolve the dispute informally by contacting us in writing at the address in Section 22. We will attempt to resolve the dispute informally for at least sixty (60) days before either party may initiate formal proceeding.
18. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice, such as by posting the updated Terms on the Website with a new “Last Updated” date or, where appropriate, sending you notice through the Services or by email. Your continued use of the Services after the effective date of the updated Terms constitutes your acceptance of them.
19. Accessibility Commitment
Silver Shield Alliance is committed to making our Services accessible to older adults and individuals with disabilities. If you encounter accessibility barriers or need assistance using the Services, please contact us using the information in Section 22. We will work in good faith to provide reasonable accommodation.
20. Miscellaneous
Entire Agreement: These Terms, together with the Privacy Policy and any signed B2B or partnership agreement, constitute the entire agreement between you and Silver Shield regarding the Services.
Severability: If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect.
No Waiver: Our failure to enforce any right or provision will not be deemed a waiver of that right or provision.
Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
Force Majeure: We are not liable for delays or failures in performance caused by events beyond our reasonable control.
Headings: Section headings are for convenience only and do not affect the interpretation of these Terms.
